Welcome to FLC Academy. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Student," "User," "you," or "your") and French Language Culture Training Center LLC, a Kentucky limited liability company doing business as FLC Academy ("FLC Academy," "Company," "we," "us," or "our").
By accessing our website at flcacademy.com ("Website"), enrolling in any of our educational programs, or using any of our services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to the Website. Your continued use of the Services following the posting of revised Terms means you accept and agree to the changes. We encourage you to review these Terms periodically.
2.1 Age Requirements: You must be at least 18 years of age to enroll in our programs independently. Individuals between 13 and 17 years of age may enroll with the consent and supervision of a parent or legal guardian, who must also agree to these Terms on the minor's behalf.
2.2 Registration Information: When registering for our Services, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
2.3 Account Security: You are solely responsible for maintaining the security of your account login credentials. FLC Academy will not be liable for any loss or damage arising from your failure to protect your account information.
3.1 Programs Offered: FLC Academy provides educational and training services including, but not limited to:
3.2 Service Delivery: Our Services may be delivered through various formats including in-person instruction, live online sessions, pre-recorded video content, written materials, practice assessments, and one-on-one tutoring sessions. The specific delivery method will be communicated at the time of enrollment.
3.3 No Guarantee of Results: While we strive to provide high-quality educational services, FLC Academy does not guarantee any specific test scores, grades, academic outcomes, admissions results, or employment outcomes. Success depends on numerous factors including student effort, prior knowledge, aptitude, and external circumstances beyond our control.
4.1 Enrollment Process: Enrollment in any FLC Academy program is subject to availability and acceptance by FLC Academy. We reserve the right to decline enrollment at our sole discretion.
4.2 Tuition and Fees: All tuition and fees are quoted in United States Dollars (USD) and are due according to the payment schedule provided at the time of enrollment. Prices are subject to change, but changes will not affect enrollments already confirmed and paid.
4.3 Payment Methods: We accept various payment methods including credit cards, debit cards, bank transfers, and other electronic payment methods as specified during checkout. All payments are processed through secure third-party payment processors.
4.4 Late Payments: Failure to make timely payments may result in suspension of access to Services, late fees, and/or termination of enrollment. A late fee of $25 or 5% of the outstanding balance (whichever is greater) may be applied to overdue accounts.
4.5 Taxes: You are responsible for any applicable taxes, duties, or governmental fees associated with your enrollment.
5.1 Cooling-Off Period: You may cancel your enrollment within seven (7) calendar days of the enrollment date for a full refund, provided you have not accessed any course materials or attended any sessions.
5.2 Partial Refunds: After the cooling-off period, refunds will be prorated based on the percentage of the course completed, minus a $50 administrative fee. No refunds will be issued after 50% of the course has been completed.
5.3 Non-Refundable Items: The following are non-refundable: registration fees, materials fees, books and supplies that have been shipped, and private tutoring sessions that have been conducted.
5.4 Cancellation by FLC Academy: We reserve the right to cancel any course due to insufficient enrollment or unforeseen circumstances. In such cases, you will receive a full refund of all tuition paid for that course.
5.5 Refund Processing: Approved refunds will be processed within 14 business days and returned via the original payment method when possible.

7.1 Commitment to Integrity: FLC Academy is committed to maintaining the highest standards of academic integrity. We expect all students to uphold these standards in all aspects of their participation in our programs.
7.2 Definition of Academic Dishonesty: Academic dishonesty includes, but is not limited to:
7.3 Plagiarism Detection: FLC Academy utilizes industry-standard plagiarism detection software to ensure the originality of submitted work. By enrolling in our programs, you consent to having your work analyzed by such software.
7.4 Consequences: Violations of academic integrity may result in:
8.1 FLC Academy Content: All content provided through our Services, including but not limited to course materials, videos, audio recordings, assessments, worksheets, presentations, graphics, logos, and software ("FLC Academy Content"), is owned by or licensed to FLC Academy and is protected by copyright, trademark, and other intellectual property laws.
8.2 Limited License: Upon enrollment, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use FLC Academy Content solely for your personal, non-commercial educational purposes. This license terminates upon the completion of your enrollment or upon termination for any reason.

8.4 Student Work: You retain ownership of original work you create as part of your coursework. However, by submitting work to FLC Academy, you grant us a non-exclusive, royalty-free license to use, reproduce, and display such work for educational, promotional, and administrative purposes.
9.1 Privacy Policy: Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the practices described in the Privacy Policy.
9.2 Educational Records: We maintain educational records in accordance with applicable laws and regulations. These records may include enrollment information, grades, assessments, and communications.
9.3 Data Security: We implement reasonable security measures to protect your information. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
10.1 "As Is" Basis: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10.2 No Warranty of Results: FLC ACADEMY DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
10.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FLC ACADEMY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
10.4 Maximum Liability: IN NO EVENT SHALL FLC ACADEMY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO FLC ACADEMY DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless FLC Academy, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your conduct in connection with the Services.
12.1 Informal Resolution: Before initiating any formal dispute resolution proceeding, you agree to first contact us at contact@flcacademy.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation within thirty (30) days.
12.2 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions.
12.3 Jurisdiction: Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Madison County, Kentucky, and you consent to the personal jurisdiction of such courts.
12.4 Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
13.1 Termination by You: You may terminate your enrollment at any time by providing written notice to FLC Academy. Refunds, if applicable, will be processed according to Section 5.
13.2 Termination by FLC Academy: We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, non-payment, or conduct detrimental to our community.
13.3 Effect of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14.1 Entire Agreement: These Terms, together with our Privacy Policy and any enrollment agreements, constitute the entire agreement between you and FLC Academy regarding the Services.
14.2 Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
14.3 Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. FLC Academy's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment: You may not assign or transfer these Terms or your rights hereunder without FLC Academy's prior written consent. FLC Academy may assign these Terms without restriction.
14.5 Force Majeure: FLC Academy shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, or failures of third-party services.
14.6 Notices: All notices to FLC Academy shall be sent to contact@flcacademy.com or by mail to our registered address. Notices to you will be sent to the email address associated with your account.
